Pricing - Although there are some general principles for valuing practices, actual pricing varies widely. We’ll discuss some of the categories that we use to value practices.

Terms - Pricing is nothing without terms. Historically, this industry has suffered from misunderstanding client transition behaviour resulting in acquisitions with poor terms. This often puts too much risk on the seller and sometimes the buyer.

Offer Structure - There are different ways to place an offer on a practice. Often when we question a buyer on their particular approach we get the reply, “That’s just how it’s done.” Not exactly cutting edge! Unfortunately, many offers are full of buyer/seller assumptions that don’t come out until much later and may even risk the deal.

Buyer Fit - This is the most important aspect of your transaction. We’ll discuss what this means to both the seller and the buyer.

Transition - Transition planning is almost an afterthought in most transactions. In our experience transition planning is crucial and is also one of the best examples of contrast in buyer/seller assumptions.

BRANNON POE

Brannon began facilitating successful accounting practice transitions in 2003. He pioneered a consulting-based approach to transitioning accounting firms, which has culminated in Poe Group Advisors’ unique process – The Seamless Succession™.
He started his career in public accounting as an auditor with Ernst & Young before working for several years in auditing and tax preparation for the regional firm of Elliott, Davis & Company. Subsequently, Brannon became a shareholder in a privately-held, family-owned business and a founding shareholder in a successful start-up manufacturing company. This breadth of experience — with companies large and small — has provided the foundation for Poe Group Advisors to become the industry service leader.
He is the author of “Accountant’s Flight Plan: Best Practices for Today’s Firms” (published by the AICPA and CPA Canada), “On Your Own: How to Start Your Own CPA Firm” and multiple blogs.
 


DARRYL BOYD

With 20 years of business and management experience, Darryl is an expert at integrating people and strategy, helping clients put their intentions and goals into motion to achieve results. Darryl worked in the financial services industry for more than 10 years before starting his own project management business. Darryl lives in Toronto, Ontario with his wife. In his spare time, he enjoys woodworking, studying ancient history and running.
 

CARRIE MULROONEY

Having built and sold their own nationally awarded bookkeeping and accounting practice, Carrie and her husband Sean can directly relate to those who are looking to grow or exit their practice. With more than 20 years in the industry, Carrie has a wealth of knowledge and expertise, offering a diverse perspective on traditional and cloud operations.

Sean boasts an entrepreneurial background of building businesses combined with
experience in corporate leadership, making him a spectrum of insight for those selling, buying or contemplating next steps for their business. With a designation in business continuity, he also provides direct value in the business transition process.
Having gone through the process of an acquisition with their own national bookkeeping and accounting firm, Sean and his wife Carrie bring a true understanding of not only the process, but the concerns and needs of those embarking on selling or buying a practice.
Sean resides in Kitchener, Ontario with his wife Carrie and their two youngest children. In his spare time, Sean enjoys cruising along back roads on his motorcycle and cooking up delicious meals with his BBQ and smoker collection.
